These Terms & Conditions (the “Terms”) govern your access to and use of the Yoosee mobile and desktop applications, the Yoosee cloud storage and related online services, and any Yoosee-branded hardware devices, together with any software, firmware, documentation, and updates provided with them (collectively, the “Services”). The Services are operated by the Yoosee operating entity (“Yoosee,” “we,” “us,” or “our”). The Services are made available through https://guanwang-mgr.yoosee.com/EYBaduMVIL.php and the Yoosee applications.
Please read these Terms carefully before using the Services. By creating an account, installing or using an application, activating a device, or otherwise using any part of the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. Eligibility and Accounts
You must be at least the age of majority in your jurisdiction, or use the Services under the supervision of a parent or legal guardian, to register an account. You are responsible for providing accurate registration information and for keeping it up to date.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us promptly at the contact address below if you suspect any unauthorized use of your account.
2. License to Use the Software and Applications
Subject to your compliance with these Terms, Yoosee grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Yoosee applications and software solely for your personal or internal business use with the Services and compatible devices.
You agree that you will not, and will not permit any third party to:
· copy, modify, translate, or create derivative works of the software except as permitted by law;
· reverse engineer, decompile, or disassemble the software except to the extent expressly allowed by applicable law;
· rent, lease, sell, sublicense, or otherwise commercially redistribute the software;
· remove or alter any proprietary notices contained in the software; or
· use the Services to develop a competing product or service.
3. Hardware Devices
Yoosee hardware devices are sold for use with the Services. Title to a device passes to you on delivery, but the firmware and software embedded in or provided for the device remain licensed, not sold, and are subject to Section 2.
You are responsible for installing and operating devices safely and lawfully, including complying with any applicable laws on video and audio recording, surveillance, and the privacy of others. You must not install a device where it would capture areas in which people have a reasonable expectation of privacy without their consent.
Devices may require periodic firmware updates to function correctly and securely. You agree that we may make such updates available and that some features may depend on installing them.
4. Cloud Storage Service
The Yoosee cloud storage service allows you to upload, store, and retrieve video clips, images, and related data (“Your Content”) recorded by your devices. Cloud storage may be offered on a free tier and on paid subscription plans with different retention periods, storage limits, and features.
Retention periods describe the maximum time Your Content is kept before it is automatically deleted. We do not guarantee that Your Content will be retained beyond the applicable retention period, and you are responsible for separately saving any content you wish to keep.
You retain ownership of Your Content. You grant Yoosee a limited license to host, store, process, transmit, and display Your Content solely as necessary to operate and provide the Services to you, and as described in our Privacy Policy. You are solely responsible for Your Content and for ensuring you have the rights and consents necessary to record and store it.
5. Subscriptions, Fees, and Renewals
Certain Services, including some cloud storage plans, are offered for a fee. Prices, billing cycles, and plan features are described at the point of purchase. Unless otherwise stated, fees are charged in advance and are non-refundable except where required by applicable law.
Paid subscriptions may renew automatically at the end of each billing cycle at the then-current price unless you cancel before the renewal date. You may manage or cancel a subscription through your account or the applicable app store. We may change prices on a going-forward basis with reasonable advance notice.
6. Acceptable Use
You agree not to use the Services to:
· violate any applicable law or regulation, or infringe the rights of others;
· record, monitor, or surveil any person without a lawful basis or required consent;
· upload or transmit content that is unlawful, harmful, or infringing;
· interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems; or
· introduce malware or otherwise compromise the security or integrity of the Services.
We may suspend or terminate access to the Services for conduct that violates these Terms.
7. Intellectual Property
The Services, including all software, firmware, designs, text, graphics, logos, and trademarks (other than Your Content), are owned by Yoosee or its licensors and are protected by intellectual property laws. Except for the limited license granted in these Terms, no rights are transferred to you.
8. Third-Party Services
The Services may interoperate with third-party products, platforms, or services. Your use of those third-party offerings is governed by their own terms, and Yoosee is not responsible for them. We do not control and are not liable for the availability or performance of third-party services.
9. Service Availability
We strive to keep the Services available and reliable but do not guarantee uninterrupted or error-free operation. The Services may be unavailable from time to time due to maintenance, updates, network conditions, or events beyond our reasonable control. Some features depend on a working internet connection, compatible hardware, and supported software versions.
10. Disclaimer of Warranties
Except for any limited hardware warranty expressly provided with a device and any warranty that cannot be excluded under applicable law, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Yoosee does not warrant that the Services will detect every event, prevent any loss, damage, theft, or harm, or serve as a substitute for professional monitoring or emergency services. You should not rely on the Services as your sole means of security.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Yoosee and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of or inability to use the Services, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the total aggregate liability of Yoosee arising out of or relating to the Services will not exceed the greater of (a) the amount you paid to Yoosee for the relevant Service during the twelve (12) months before the event giving rise to the liability, or (b) the amount paid for the relevant hardware device giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
12. Indemnification
You agree to indemnify and hold harmless Yoosee and its affiliates from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your misuse of the Services, your violation of these Terms, or your violation of any law or the rights of any third party, including in connection with Your Content.
13. Termination
You may stop using the Services at any time. We may suspend or terminate your access to the Services if you breach these Terms or if we are required to do so by law. Upon termination, the licenses granted to you end, and we may delete Your Content in accordance with our standard retention practices. Sections that by their nature should survive termination will survive.
14. Governing Law and Disputes
These Terms are governed by the laws of the People’s Republic of China, without regard to its conflict-of-laws rules. Subject to any non-waivable rights you have under the law of your country of residence, you and Yoosee agree to submit any dispute arising out of or relating to these Terms or the Services to the competent courts located at Yoosee’s principal place of business in China.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice through the Services or at https://guanwang-mgr.yoosee.com/EYBaduMVIL.php. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
